• Meets to conduct business between Board meetings
• Authorized by the by-laws and restricted by established policies approved by the members at Annual General Meeting of the members
• Allows important business to be conducted as issues arise with short notice
• Supports and approves recommendations made by Standin Committees chaired Board members
